These Terms of Use govern your access to and use of the Swappo platform (swappo.ae), operated by Hannibal General Trading L.L.C - S.P.C (Registry No. 6158841, Economic Licence No. CN-5592284, Activity 4791018 "E-Commerce Through Websites"), a Limited Liability Company - Sole Proprietorship Company registered with the Abu Dhabi Registration Authority (ADRA), Department of Economic Development, Abu Dhabi, UAE.

Swappo operates under UAE law, including Federal Decree-Law No. 14 of 2023 (Modern Technology-Based Trade / E-Commerce), Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), and Federal Tax Authority Public Clarification VATP042 (April 2025) concerning VAT treatment of barter transactions.

1. Platform Description

Swappo is a peer-to-peer marketplace for swapping, buying, selling, and gifting physical items. The platform operates as an intermediary facilitator only. Swappo is NOT a party to any exchange transactions and does not buy, sell, or own any items listed on the platform.

2. Use of Service & User Eligibility

By accessing and using Swappo, you agree to be bound by these Terms of Use. You must be at least 18 years old or the legal age of majority in the United Arab Emirates, whichever is greater. You are solely responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying Swappo of any unauthorized access to your account
Complying with all applicable laws and regulations in the UAE

3. Account Registration & Responsibilities

To use Swappo, you must create an account by providing accurate, complete, and current information. You are responsible for the accuracy of information you provide and for keeping it updated. You agree not to:

Create multiple accounts or impersonate another person
Use automated tools or bots to access the platform
Use the platform for any illegal or fraudulent purpose
Provide false or misleading information

4. Anonymity & Identity Reveal Mechanism

Swappo operates on a principle of user anonymity until a swap is mutually accepted. Key terms:

Users remain anonymous (pseudonym + avatar only) until both parties mutually accept a swap
Identity (name, profile photo, location area) is revealed AUTOMATICALLY when BOTH parties accept the swap — at no additional cost, with no quota or limit
Chat opens automatically after identity reveal, allowing both users to coordinate the exchange
Until mutual acceptance, all browsing, proposals, and messaging remain fully anonymous
No virtual currency, points, credits, or in-platform monetary units are used or issued by Swappo

5. Swaps Are Free & Unlimited

The core action of Swappo — proposing, accepting, and completing swaps between users — is 100% free and unlimited for every registered user. There is no cap on the number of swaps per day, per month, or per year. No subscription is required to swap.

5b. Swappo Pro (Optional Subscription)

Users may optionally subscribe to Swappo Pro to unlock additional convenience and promotion features. Pro is never required to swap.

5b.1 Pricing

Monthly: 29 AED per month
Annual: 249 AED per year (equivalent to ~20.75 AED/month — a saving of approximately 28% versus monthly billing)

5b.2 Pro Benefits

No advertisements on the platform
3 item Boosts per month included (see Section 17 for Boost definition)
Verified "Pro" badge displayed on your profile and listings
5 Gift Corner claims per month (vs. 1 for Free users)
Profile analytics (views, favourites, best-performing listings)
Priority placement in search results and category feeds
Priority customer support

5b.3 Billing & Payment

Pro subscriptions are billed via credit/debit card through Tap Payments, Swappo's regulated payment service provider
Subscriptions auto-renew at the end of each billing period unless cancelled beforehand
By subscribing, you authorise Swappo to charge your chosen payment method on each renewal date
All prices are inclusive of VAT at the applicable UAE rate

5b.4 Cancellation & Refunds

You may cancel Pro at any time from in-app settings or by contacting support
Cancellation takes effect at the end of the current billing period — you keep Pro benefits until then
No pro-rata refunds are issued for the remaining portion of a paid period
After cancellation, your account reverts to the Free tier (swaps remain free and unlimited)
Swappo may change Pro pricing with 30 days' prior notice to active subscribers

5c. Cash Top-Up Between Users (Negotiation Tool Only)

Users may optionally add a cash amount to a swap proposal to balance items of unequal value (e.g., "my tablet + 100 AED for your laptop"). The cash top-up feature is a negotiation tool only.

Swappo does NOT process, hold, escrow, or transfer any cash between users. The money is exchanged directly, hand-to-hand, between the two swappers at the meetup.
Swappo charges no fee, no commission, and no service charge on user-to-user cash top-ups
Users are solely responsible for agreeing on the cash amount, counting it at meetup, and completing the exchange
Any dispute concerning a cash top-up is a private matter between the two users and must be resolved between them. Swappo is not a party to such disputes and cannot recover or refund user-to-user cash
Card payments are accepted by Swappo exclusively for: (a) Swappo Pro subscriptions and (b) boost purchases. Swappo never accepts card payments on behalf of another user and charges no commission on any user-to-user deal

6. Listing Rules & Structured Fields

To maintain platform safety and user anonymity, all item listings must follow strict guidelines:

Listings use structured form fields only (category, condition, item type, photos) — NO free-text descriptions
You must NOT attempt to circumvent the anonymity system by revealing contact information (phone, email, address, social media handles) in listing fields, photos, or any other manner
You must NOT use coded language or hints to share contact details
Violations result in immediate listing removal and account suspension
Structured fields ensure safe, moderated, and anonymous exchange facilitation

7. Prohibited Items

The following items and content are strictly prohibited on Swappo and will result in immediate removal and potential account suspension:

Weapons (firearms, knives, explosives, ammunition)
Drugs and controlled substances
Adult toys and sexually explicit items
Nudity or sexually explicit photos/videos
Counterfeit or replica branded items
Prescription medications (unless sold by licensed pharmacies)
Stolen goods or items of unclear origin
Items that violate UAE law or Islamic principles
Any hazardous materials without proper licensing

8. Content Moderation & AI Detection

Swappo uses automated AI photo detection and user reporting to enforce prohibited item policies:

All photos are scanned using AI vision technology (Google Vision / AWS Rekognition) to detect weapons, nudity, drugs, and other prohibited content
Users can report inappropriate listings or user behavior directly in-app
Three (3) user reports on an account result in automatic suspension pending review
Swappo reserves the right to manually review flagged content and make final moderation decisions
Repeat violations result in permanent account termination

7b. No Commission on Deals

Swappo charges no service fee and no commission on any swap, sale, purchase or gift between users — in person or otherwise
The only amounts Swappo ever charges are the optional Swappo Pro subscription and boost purchases (Section 7a), both paid by card to Swappo directly
If Swappo Delivery becomes available, the courier price will be shown transparently before you confirm and these Terms will be updated first

9. Gift Corner (Giveaway System)

Swappo includes a "Gift Corner" where users may give items for free to other members of the community. To protect the platform from abuse and reselling, the following rules apply:

Give-to-Unlock: access to the Gift Corner is granted once a user has either completed at least one swap OR published at least one item in the Gift Corner. New accounts with zero activity cannot claim gifts
Free users: 1 Gift Corner claim per calendar month
Swappo Pro users: 5 Gift Corner claims per calendar month
After claiming a giveaway in a given category (e.g., Electronics), that user cannot claim another giveaway in the same category for 30 days (anti-reseller protection)
Gift Corner claims are never a required step to use Swappo and carry no monetary value
Items given via the Gift Corner are offered "as is" with no warranty from Swappo or the giver

10. In-App Chat & Communication

All communication between users must occur through Swappo's in-app chat only:

Users are NOT permitted to share phone numbers, email addresses, URLs, social media handles, or any contact information in the chat
Swappo's system automatically filters and blocks known contact information
Chat messages are encrypted and only visible to the two parties in the conversation
Chat history is deleted when an account is deleted
Attempting to circumvent the chat filter results in account warning, suspension, or termination
Swappo reserves the right to review chat content to enforce safety policies

11. User Conduct & Prohibited Behavior

You agree not to engage in any of the following:

Fraud, scams, or deception (e.g., bait-and-switch, selling broken items as working)
Fake listings or uploading photos of items you don't own
Harassment, abuse, discrimination, or threats toward other users
Attempting to manipulate the rating or review system
Spam or excessive promotional messaging
Using the platform for money laundering or illegal activity
Reverse-engineering or attacking the Swappo application

12. Item Condition & Buyer Beware

IMPORTANT: Swappo facilitates exchanges but is NOT responsible for:

The quality, condition, safety, or functionality of any item listed
Whether items are as described or as shown in photos
Defects, hidden vices (vices cachés), or damage not visible in photos
The legal status of items (authenticity, stolen goods, etc.)
Compliance with any standard or regulation

Users are responsible for verifying item condition IN PERSON during the meetup before completing the exchange. Examine items thoroughly, test functionality, and ask questions. Swappo recommends meeting in safe public places, but is NOT liable for personal safety incidents.

13. Meeting, Swap Confirmation & Safety

When meeting another user to exchange items:

Meet only in safe, well-populated public locations (shopping malls, public parks, metro stations, etc.)
Bring a friend if possible
Inspect the item thoroughly before agreeing to exchange
Complete the exchange in person and verify both parties are satisfied before marking the swap as completed
Any cash top-up (see Section 5c) is handed over directly between the two users at meetup. Swappo never touches the money
Swappo provides meetup recommendations but is NOT responsible for your personal safety or security
You meet other users entirely at your own risk

13.1 Dynamic QR Code + Geolocation Confirmation

To confirm a physical swap, each user generates a dynamic QR code from the app at the meetup. The QR code is valid for a short time window and can only be scanned if both devices are physically within a radius of approximately 200 metres of each other, verified by device geolocation. This double check (QR + geolocation) is used to:

Confirm the swap was genuinely completed in person
Unlock the rating and badge progression system (see Sections 14 and 16)
Prevent fake completion reports that would artificially inflate reputation

By scanning the other party's QR code, you confirm that you have received the agreed item(s) and any cash top-up in person. The scan is a non-refutable confirmation of physical exchange.

13.2 Delivery-Based Confirmation (Phase 2)

If the swap is shipped via an upcoming Swappo Delivery partner (Phase 2 feature, not yet active), confirmation will be performed automatically once both shipments are marked as delivered by the courier's tracking system. Users will have a short window to report any issue after delivery.

14. Rating & Reviews

After completing a swap (confirmed via QR + geolocation or courier tracking as described in Section 13), both users are invited to rate each other on a scale of 1 to 5 stars. Important terms:

Ratings reflect the user's experience with the other party (punctuality, item condition vs. photos, communication, honesty)
Each user may leave one rating per completed swap
Ratings are aggregated into an average score displayed on the user's public profile
Users may optionally leave a short structured review (no free text that could be used to share contact details)
Users may also report the other party for any issue (no-show, unsafe behaviour, prohibited item, item not as photographed). Reports are reviewed by Swappo moderation
False, retaliatory, or manipulated ratings may result in the rating being removed and the account being suspended
Ratings have no monetary value and cannot be exchanged or converted into any currency, credit, or discount

15. Intellectual Property

All intellectual property owned by Swappo, including but not limited to:

The Swappo brand name, logo, and handshake icon
Website design, layout, and functionality
Mobile app code and design
Original content, text, and graphics

…are protected by copyright and trademark law. You may not reproduce, distribute, or use Swappo's IP without written permission.

16. Badges & Reputation System

Swappo uses a badge and reputation system to reflect user activity and trust. Badges are a status indicator only: they have no monetary value, cannot be bought, sold, traded, converted into any currency, credit, or discount, and do not unlock paid features.

16.1 Level Badges (based on completed swaps)

All users progress through 6 level badges automatically, based on the number of swaps they have successfully completed:

🌱 Newcomer — 0 completed swaps
⭐ Swapper — 1 completed swap
🔥 Active — 5 completed swaps
💎 Pro — 15 completed swaps
🏆 Elite — 30 completed swaps
👑 Legend — 75 completed swaps

16.2 Special Badges

In addition to level badges, users may earn up to 5 special badges for specific milestones (e.g., early adopter, generous giver, speed swapper). The full list and conditions are published in-app and may evolve over time.

16.3 Verified Pro Badge

Active Swappo Pro subscribers display a separate "Pro 🛡️" badge on their profile and listings. This badge disappears if the subscription is cancelled or expires.

17. Boosts — One-Off Listing Promotions

Any user (Free or Pro) may purchase Boosts to increase the visibility of a specific listing. Boosts are a paid service of Swappo and are processed by Tap Payments.

17.1 Boost Packages

5 AED — 24-hour boost (priority placement in search and category feeds for 24 hours)
10 AED — 3-day boost (priority placement for 3 days)
25 AED — 7-day boost + featured (priority placement for 7 days, plus highlighted "Featured" badge on the listing)

17.2 Boosts & Swappo Pro

Swappo Pro subscribers receive 3 Boosts per month included in their subscription (duration chosen by the user at activation)
Pro Boosts not used within a billing month are forfeited — they do not roll over
Pro users can still purchase additional one-off Boosts on top of their monthly allocation

17.3 Boost Terms

Boosts are paid via credit/debit card through Tap Payments and are inclusive of UAE VAT
All Boost purchases are final and non-refundable once the Boost has started
A Boost does not guarantee a swap — it only increases visibility for the chosen duration
Boosted listings must still comply with all rules in these Terms (Sections 6, 7, 8)
Swappo reserves the right to adjust Boost pricing, duration, or availability with reasonable notice

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Swappo provides the platform "AS IS" without warranties of any kind
Swappo is NOT liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the platform, including loss of money, items, data, or reputation
Swappo's total liability is limited to the amount of subscription fees paid by you in the past 12 months
Some jurisdictions do not allow liability limitations; this clause is enforced to the maximum extent allowed by law

19. Account Suspension & Termination

Swappo reserves the right to suspend or terminate any account at any time, with or without notice, if:

You violate these Terms of Use
You engage in fraud, scams, or illegal activity
You receive three user reports for violations
You repeatedly violate prohibited item policies
You attempt to circumvent safety systems (anonymity, chat filters, moderation)
Swappo deems your account a risk to other users or the platform

Upon termination:

Your account access is revoked immediately
Any active subscription is cancelled without refund for the current billing period
All active listings are removed
You may not create a new account to bypass the suspension

20. Governing Law & Dispute Resolution

Swappo is operated by Hannibal General Trading L.L.C - S.P.C (Registry No. 6158841, Economic Licence No. CN-5592284, Activity 4791018 "E-Commerce Through Websites"), licensed by the Abu Dhabi Department of Economic Development.

These Terms of Use are governed by the laws of the United Arab Emirates, including but not limited to:
- Federal Decree-Law No. 14 of 2023 on Modern Technology-Based Trade (E-Commerce)
- Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL)
- Federal Law No. 15 of 2020 on Consumer Protection
- Federal Tax Authority Public Clarification VATP042 (April 2025) on VAT treatment of barter transactions
Any disputes arising from your use of Swappo shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates (Abu Dhabi)
For disputes, contact Swappo support at contact@swappo.ae with details of the issue
Swappo will attempt to resolve disputes in good faith within 14 days
If unresolved, either party may escalate to the competent courts in Abu Dhabi, UAE

21. Changes to Terms

Swappo may modify these Terms of Use at any time. Changes will be notified to you via:

Email notification to your registered account email
In-app notification when you next log in
A new "Last Updated" date on this page

Continued use of Swappo after changes constitutes acceptance of the new Terms.

21.1 Service and security communications

By holding a Swappo account you agree to receive account-related communications by email and in-app notification, including verification links, one-time codes, security alerts, and notices about your swaps, offers and subscription. These messages are part of operating the Service and are not marketing; you cannot opt out of them while your account is active. Marketing communications remain optional and are governed by our Privacy Policy.

If you choose to verify a phone number, it is used only to confirm your identity and to display a "Verified" badge. Swappo never displays your phone number to other users and deletes it when your account is deleted.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect.

By using Swappo, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
